It succeeds FS International, Inc., an investment advisory company founded in Washington, DC in 1986. The firm has taken over all activities, businesses, investments and relationships developed over 17 years in Washington and moved its operations to continental Europe. FS International Partners provides services oriented toward clients from the Middle East and North Africa (MENA) region that are interested in investing in continental Europe. The firm has established relationships with leading business groups and financial institutions in the Arabian Gulf, including Islamic investment banks and institutional investors. FS International Partners works with affiliates of the World Bank Group (IFC, FIAS, MIGA), and Middle East-based financial institutions and development funds. The firm raises funds for companies requiring equity capital and debt financing, including start ups, mezzanine, and recapitalization finance. Joint Venture Partnerships The firm identifies strategic partners and negotiates joint ventures, particularly in Continental Europe and MENA region. The firm has structured joint ventures and partnerships in logistics and industrial warehouses, infrastructure projects, and water, power, waste and environmental sectors. Mergers and Acquisitions The firm represented clients before the US Resolution Trust Corporation for the acquisition of real estate assets and thrift institutions auctioned by the US government. The firm chartered Washington Merchant Bank, a private international development bank focused on development projects and trade financing with the MENA region. The firm has established relationships with leading players in the French real estate market, including real estate developers, consulting firms, banks, insurance companies, fund manages and law firms representing international investors. FS International Partners operates in the French market through its subsidiary, FS Continental Investments, SA. Under its co-investment program, the firm participates with investors in the equity of acquired properties. REAL ESTATE INVESTMENTS Slide8:  The firm provides the following investment services: Identify investment opportunities for acquisition in the French market and develop long-term joint venture programs in office buildings, residential properties, retail, logistics centers and industrial warehouses. Negotiate acquisitions, conduct financial analysis, prepare bidding documents, and develop tax efficient legal structures. Advise on structuring real estate transactions, including Islamic compliant investments, using self-lending, Ijara, Ijara wa-Iqtina, Musharakah, Murabaha, and a variety of Sharia compliant leasing structures. Structure, jointly with clients, real estate funds focused on French properties. Access senior financing, including Islamic financing, for real estate transactions through French and European banks. Retain and supervise third party service providers during the due diligence process, including engineers, surveyors, inspectors, lawyers, accountants, property managers and oversee closing of transactions. Provide asset management services. REAL ESTATE INVESTMENTS Slide9:  Recent Real Estate Activities: The firm advised on structuring a joint venture for the development and construction of 14 logistic warehouses in France. The firm sponsored FS/RIC French Properties Partnership, a real estate fund focused on office and warehouse properties in Paris and Ile de France. The firm advised on structuring a joint real estate fund between Insignia Financial Group and Rana Investment Company in accordance with Sharia principles focused on US office buildings and multifamily housings. The firm advised Al-Tawfeek Company for Investment Funds, an affiliate of Al-Barakah Group, on structuring an Islamic real estate portfolio in Paris and Ile de France. The firm also advised Al-Tawfeek on restructuring a real estate portfolio in the US. Brazilian Brands is based in the State of Goias, the agricultural heartland of Brazil. The firm is involved in the exports of agricultural products to the Middle East and North Africa (MENA) region, including, sugar, coffee, soybean and its derivatives (soy protein, soy milk powder, and soy oil). Unlike American soy products, all Brazilian products handled by the firm are 100% natural and are not genetically modified. Prizmax Consulting LTDA is a Sao Paulo-based investment advisory firm with which FS International Partners has established a strategic relationship. Both firms are actively involved in Arab-Latin American business transactions. They access investment opportunities in Brazil for Middle East clients, and arrange the supply of Middle East oil, gas and petrochemical products for the Brazilian market. ARAB-LATIN AMERICAN INVESTMENTS Slide12:  Fehmy Saddy Fehmy Saddy is Founder and President of FS International Partners S.A., and its predecessor, FS International, Inc. of Washington, DC. He has served as advisor to corporate clients, governments and international development institutions on investments and privatization policy. Mr. Saddy has served as advisor to the World Bank Group and participated in missions to several Middle East and North Africa (MENA) countries. He has also worked with Arab financial institutions in the US, Europe and the Middle East. From 1982 to 1983, Mr. Saddy was a member of the senior management of the Olayan Group of Saudi Arabia, and served as advisor to the US-Saudi Arabian Businessmen Dialogue Group that formed part of the US-Saudi Arabian Joint Commission on Economic Cooperation. From 1983 to 1985, he practiced law at the Washington office of Chadbourne, Parke, Whiteside and Wolfe, a Wall Street law firm, specializing in international transactions and arbitration. Mr. Saddy taught International Politics, International Development and Law at American University in Washington, DC; American University of Beirut and Kuwait University. He also served as Research Professor at the American University, Senior Fellow at the Center for International Development and Conflict Management of Maryland University, and Senior Advisor at International Law Institute, Washington D.C.. Mr. Saddy holds LL.B degree, LLM in International Law and Ph.D. in International Studies from the American University. He is fluent in several foreign languages. MANAGEMENT Slide13:  Michel Cappelle Michel Cappelle provides real estate advising services to the firm. He has been active in the real estate business in France since 1972 and has assumed senior positions with several leading French real estate companies. He started his career as Commercial Director at Wheathersalls Allemagne (currently FPD Savills), and served from 1974 to 1984 as Associate Director General of Sari, a leading French real estate development company in charge of development of more than one million square meters of offices at La Defense. From 1985 to 1988 he was Director of Investment at Cogedim. From 1988 to 1991 he was Associate Director General at Brea. In 1992 Mr. Cappelle returned to Sari and served until 1998 on Sari Board of Directors with responsibilities for Sari Development and Sari International. From 1999 to 2002 he served as Associate Director for Investments at FPD Savills. From 2002 until 2004 he served as Associate Director at Auxiliaire de Finance. Mr. Cappelle is active with German real estate management funds. He acts as advisor to TMW, one of the leading German funds active in the French property market. Mr. Cappelle is trained in economics and business law at ISTI in Paris. He is fluent in English, German and Portuguese. MANAGEMENT Slide14:  Reine C. Tordjman Ms. Tordjman provides real estate investment and finance expertise to the firm. She was Business Development Director for Europtima in Paris. Her responsibilities ranged from the creation of a European Holding company with main activities in property development, transactions and investments to setting up the legal, commercial and financial structure, the management team, and the internal reporting procedures and financial controls. For almost 20 years, Ms. Tordjman was the Financial & Administrative Director of MAB SA, a European Property Developer specialising in Shopping Malls. During this period she was responsible for financing and financial structuring, negotiating with investors, administration, business development, human resources, IT and financial control. Her main achievements have ranged from reorganising/restructuring the group to managing the whole process of property development from initial negotiation with landowners to development of business plans/financial models until completion and sale to investors. During her work experience at MAB she led the development of many commercial retail projects across France and Europe. Ms. Tordjman has a Master’s degree in Management and Applied Statistics from Institut d’Administration des Entreprises in Paris and is trained as a Chartered Accountant. She is fluent in several foreign languages. MANAGEMENT Slide15:  Vladimir Lakovski Vladimir provides financial engineering analysis and technical services to the firm, particularly in the high tech and internet fields. He was Co-founder of e-Vestment Capital, a venture capital group focused primarily on the IT industry. He had primary responsibility of screening deals mainly in the European market, conducting due diligence, providing investment recommendations, fund raising, business development, market research and strategic advice. As a member of the investment committee, he covered investments in the following companies: Mobile Data Infrastructure (Spain), Managed Security Services (UK), Semiconductor Designer (US), Internet (UAE) and Broadband Connectivity (US). Prior to founding eVC he was Head of Global Technology Research and Fund Manager at Sarasin Investment Management (SIM) and was responsible for over €500 million in technology investments across a wide range of funds. Sarasin Investment Management based in London is the UK branch of Bank Sarasin with more than €30 billion in total assets. At SIM, he was also responsible for all IT holdings and co-manager of two global technology funds TecSar and WebSar. He has a postgraduate degree in European and International Management from University of Pantheon (Sorbonne), and Maitrise des Sciences de Gestion, Filiere Finance from University of Paris (Dauphine). He is registered with the FSA (UK). He is fluent in French, English, Greek and Serbo-Croatian. MANAGEMENT Slide16:  Sarangua Davaadorj Ms. Davaadorj brings to the firm a diverse experience in legal, investment and management consulting. Her career covers mining, aviation law, legal reform, corporate finance and business consulting. Ms. Davaadorj focuses on emerging markets, particularly in East Europe, Russia and Central Asia. Ms. Davaadorj was a senior manager with LTB Limited in London, responsible for financial and corporate advisory services in Emerging Markets, conducting legal and financial due diligence, structuring, negotiating and monitoring projects with financial institutions and investors. In Washington DC, she carried assignments for the World Bank’s Legal Department and served from 1998 to 2001 as Deputy Director at International Law Institute. Ms. Davaadorj was Co-founder and Partner of Arlex Consulting Services Ltd., a consulting firm based in Ulaanbaatar, Mongolia. She held several senior positions in Mongolia at the Ministry of Geology and Mineral Resources, the State Bureau of Mines, and Mongolian Geological and Geophysical Exploration Company. Trained in Russia and the US, Ms. Davaadorj has LL.M. degree from Harvard Law School and Master of Law degree from Moscow State University. She is proficient in English and is native speaker of Russian and Mongolian. MANAGEMENT Slide17:  Nicolas Castanet Mr. Castanet is consultant to the firm. He has been in the hospitality industry since 1995, with working experience in hotel operations, finance, and internet development. He worked for various hotel groups in Europe, Latin America, Asia and Africa. From 2000 to 2002, Mr. Castanet was Team Leader in Accor Corporate Internal Audit Department, a French listed company that is part of the CAC 40 index. He audited subsidiaries, hotel properties and travel agencies in 15 different countries. Mr. Castanet is a French national, with an MBA degree in International Hospitality Management from IMHI, a joint program of Cornell University and Essex Business School. MANAGEMENT Slide18:  Fred Rassam Mr. Rassam is technology consultant to the firm. He started using IBM PCs at early age and quickly assimilated the intricacies of associated technologies. His experience involves a wide range of hardware services to build, configure, troubleshoot and optimize PCs for maximal performance. His proficiency in utilizing computer software covers the entire spectrum of tools available in the fields of 3D Rendering, Photo Retouching, Web Designing, MIDI & Audio editing, Desktop Publishing, Programming, among many others. Mr. Rassam assists in reviewing technology based companies for the firm. Mr. Rassam has BS in Computer Engineering from Stevens Institute of Technology in New Jersey.
